Vascon Engineers’ six-year record carries unqualified audit opinions, but the cash conversion behind those profits is thin: cumulative operating cash flow covers only half of cumulative EBITDA, and the group operates through a shifting set of entities where a majority of subsidiaries, joint ventures and associates are unaudited year after year.
Key findings
- Operating cash flow covers only half of cumulative EBITDA over six years
Major- Cumulative CFO of ₹199 crore covered 0.49x of cumulative EBITDA of ₹402 crore from FY21 through FY26. In FY26, CFO was negative ₹122 crore against a PAT of ₹48.90 crore, a ratio of -2.50x. The Board declared an interim dividend of ₹0.25 per share totalling ₹5.43 crore in FY24, a year when CFO was negative ₹22.37 crore. - Receivables are growing faster than revenue, and real-estate recognition defers revenue
Major- Receivable days rose 28% year-on-year to 92 in FY26, while the DSRI reached 1.28. Consolidated revenue declined 12% to ₹949 crore, with management citing cash-flow constraints at two major government projects and organisational changes at a large private client. Revenue from real estate is recognised only on handover under the completed-contract method, not on percentage of completion. - A majority of subsidiaries, JVs and associates are unaudited and consolidated on management-certified accounts
Major- In FY26, 7 out of 10 entities were not audited: Mumbai Estate Private Limited, Vascon Saga Construction LLP, Phoenix Ventures, Vascon Developers LLP, Ajanta Enterprises, Vascon Qatar WLL, and DCS Conventions and Hospitality Private Limited. Vascon Qatar WLL has been unaudited and consolidated on management-certified accounts every year from FY20 through FY26. The group acquired 100% of Kanchi Properties Private Limited effective 31 March 2026, the last day of the financial year. - The company seeks approval for up to ₹150 crore in transactions with a zero-turnover associate LLP
Major- Vascon Developers LLP, where Vascon holds 35% and a relative of KMP Siddharth Vasudevan holds 15%, had nil turnover in FY23, FY24 and FY25, yet the company proposes transactions up to ₹150 crore for FY27. The proposed limit equals 15.81% of FY25 consolidated turnover, while the LLP’s net worth was ₹76.80 crore as of March 2025. The auditor has reported across multiple years that loans to related parties carried no stipulated repayment schedule. - Promoter family holds key roles with rising remuneration, while ESOPs were repriced downward and pledging was fully released
Minor- Promoter shareholding declined from 31.11% to 30.38% in FY26, and promoter pledge fell from 27.08% to 0.00%. Dr. Santosh Sundararajan, Whole-time Director and Group CEO, received total remuneration of 4.34 crore in FY23, rising to 18.86 crore in FY25. The ESOS-2017 exercise price was repriced from ₹28 to ₹15 in March 2019, and further to ₹10 in September 2020.
What to watch
- Shareholder vote on the ₹150 crore RPT resolution with Vascon Developers LLP. The AGM was noticed on 16 July 2026.
- Almet Corporation Limited share transfer dispute. The matter is sub judice as of the FY26 Annual Report.
Bottom line: This is a disclosed record with unqualified audit opinions across six years, but the cash conversion is weak and the consolidated numbers rest heavily on management-certified accounts of unaudited entities. The risk is structural: a group architecture where subsidiaries are acquired at year-end, converted into LLPs with diluted stakes, or sold at valuations disconnected from net worth, while related-party receivables carry no provision and no repayment terms. Watch the shareholder vote on the ₹150 crore RPT resolution and whether the stalled Almet divestment resolves.
