Varvee Global's record carries an audit opinion for FY2025-26 that included Emphasis of Matter paragraphs on MAT, going concern, and assets held for sale, and its deferred tax asset recognition was flagged as a key audit matter, but that opinion sits on top of a multi-year history of bank defaults, a change of control in July 2025, and accounting choices that repeatedly recognised future profits while losses deepened. The company only reached bank debt-free status in June 2025, after a rescue that involved selling off operating units and a ₹292.95 crore write-down.
Key findings
- Chronic bank defaults and a multi-year asset-sale rescue
Critical- The company disclosed bank defaults of ₹4.21 crore as of 31 December 2022, ₹2.80 crore as of 31 December 2023, and ₹3.26 crore as of 30 June 2024. All four operating units were mortgaged to secure borrowings, and an asset monetization plan submitted to the lead bank on 26 September 2023 proposed selling land and machinery for ₹209 crore to repay debt. The company claims all bank loans were repaid in full as of 3 June 2025. - Related-party deals with promoter entities at 60% of turnover each
Major- Shareholder approval was sought for material related-party transactions with four promoter-linked entities, each capped at ₹50 crore for FY2026-27, equal to 60.55% of the company's FY2025-26 consolidated turnover of ₹82.57 crore. The counterparties' own turnover was not disclosed for any of the four entities, and no valuation or external party report was relied upon. Shareholders approved the resolutions at the AGM held 30 September 2025, with promoter votes polled and counted in favour. - Control changed hands in July 2025, and new promoters' pay was tripled
Major- Jaimin Gupta, aged 30, and his uncle Tarachand Agrawal were appointed Chairman & MD and Whole-time Director from 5 July 2025 at ₹2 lakh and ₹1 lakh per month respectively. A January 2026 postal ballot approved tripling both salaries to ₹3 lakh per month, effective 1 January 2026. The FY2025-26 secretarial audit recorded an exception: Schedule V disclosures were not shown in the explanatory statement for these approvals. - Clean audit opinions sat alongside repeated default and cash-loss disclosures
Major- The statutory auditor issued unmodified opinions for FY2024-25 and FY2022-23, while the CARO annexures in the same reports disclosed bank defaults of ₹3.26 crore and ₹7 crore respectively. CARO annexures also disclosed cash losses of ₹32.91 crore in FY2023-24 and ₹39.77 crore in FY2022-23. The FY2025-26 opinion carried Emphasis of Matter paragraphs on MAT, going concern, and assets held for sale. - Deferred tax assets and MAT credit recognised on "virtual certainty" of future profits
Major- The company recognised a MAT credit balance of 13.57 crore in each year from FY2020 through FY2024, and 8.02 crore as of March 2025, asserting sufficient future taxable profit each time. Total deferred tax assets (net) stood at ₹67.25 crore as at 31 March 2025, with recognition flagged as a key audit matter. Deposit liabilities were extinguished in FY2026 based on NOCs dated 15 December 2025 from deposit holders, not repayment. - A ₹292.95 crore write-down followed years of clean opinions with no key audit matters
Major- The company recognised write-downs of approximately ₹292.95 crore on assets held for sale during FY2023-24. Auditors stated there were no key audit matters to communicate for FY2019-20, and issued an unmodified opinion for FY2020-21. Management determined no impairment provision was required on assets held for disposal under Ind AS 105. - Operating cash flow never covered losses and debt service
Major- Interest coverage was -0.1x in FY20 and -0.05x in the latest year, with net debt/EBITDA at 11.7x. Short-term borrowings were 66% of total borrowings at ₹270 crore of ₹412 crore. The company completed a preferential issue of 23,04,539 shares for ₹31.03 crore during FY2025-26, with proceeds used to repay borrowings, and decided to sell 9 of 14 windmills for ₹38.75 crore to reduce debt. - Revenue halved in FY2025 while receivables were cleared
Major- Revenue from operations fell from 84.73 crore in FY2024 to 42.45 crore in FY2025, attributed to "market conditions". Trade receivables fell from 99.73 crore to 7.76 crore over the same period. An advance received against sale of fixed assets stood at 50.69 crore as at 31 March 2025.
What to watch
- Bank debt-free status. Whether the company maintains this through FY2025-26 and whether new borrowings are availed under the Section 180(1)(c) authority obtained at the 30 September 2025 AGM.
- Deferred tax asset recoverability. Recognition of ₹67.25 crore as at 31 March 2025, given continued losses and key audit matter designation.
- BSE/NSE penalty waiver. Status of the waiver application for the ₹87,320 penalty for delayed Regulation 24A reporting, pending as of the FY2023-24 annual report.
Bottom line: This is a record of a company that defaulted on its banks for years, sold its operating units to survive, and only cleared its bank debt in June 2025. The audit opinions were issued alongside CARO and secretarial disclosures of the very defaults and cash losses the opinions did not qualify, and the FY2025-26 opinion carried Emphasis of Matter paragraphs on MAT, going concern, and assets held for sale. The risk now sits in the new promoter group's related-party transactions and the accounting assumptions on deferred tax assets, watch the AGM vote and the FY2026-27 annual report for actual RPT values.
