V-Guard’s record is audited and cash-generating: cumulative operating cash flow exceeded cumulative profit over FY2021-FY2026, the company holds a net cash position of ₹231.16 crore, and the dividend is steady. Three things cut against that picture. First, a labour-code exceptional charge of ₹22.11 crore depressed FY26 profit. Second, the subsidiary disclosures are contradictory, the FY22 AOC-1 lists 10 subsidiaries with identical figures, and the entity count varies across years with no explanation. Third, ₹615 crore of goodwill and indefinite-life intangibles from the Sunflame acquisition sit on a segment whose revenue and margin have both fallen, yet no impairment has been recorded.
Key findings
- Subsidiary disclosures are contradictory and unreliable across multiple years
Major- The FY26 AOC-1 and FY24 AOC-1 are populated with three subsidiaries and one associate, with full financial data. The FY22 AOC-1 lists 10 wholly-owned subsidiaries all showing identical financial figures, revenue of ₹180.94 crore and net worth of ₹(10.04) crore, suggesting placeholder data. The FY25 Board’s Report states the group has only three subsidiaries, while the FY25 AOC-1 lists three subsidiaries with substantial revenue and net worth. - The audit-trail exception has persisted for three years
Major- The auditor’s report for FY2026 states the accounting software’s audit trail was not maintained for modifications by users with specific access and for certain records from 1 April 2025 to 7 May 2025, and for direct database changes the auditor is “unable to comment on the audit trail feature”. The same limitation appeared in FY2025 and FY2024. In FY2024, for direct database changes in the holding company and two subsidiaries, the auditor was also unable to comment on the audit trail feature. - Goodwill and intangibles of ₹615 crore sit on a deteriorating Sunflame unit
Major- Goodwill of ₹249.14 crore and a trademark of ₹366.00 crore from the Sunflame acquisition are allocated to a single cash-generating unit. Annual impairment tests using five-year cash-flow projections have indicated no impairment in FY2024, FY2025, or FY2026. Sunflame segment revenue fell from ₹274 crore at a PBIT margin of 9.65% in FY2024 to ₹250 crore at 5.26% in FY2026. - Revenue recognition relies on year-end estimates for trade schemes
Minor- Revenue recognition has been a Key Audit Matter in every annual report from FY2019 through FY2026 because of the judgement in estimating year-end provisions for volume discounts, rebates, and promotion incentives. Customer incentives netted against receivables rose from ₹68.62 crore at March 2022 to ₹168.89 crore at March 2026, a 146% increase. - A labour-code exceptional charge of ₹22.11 crore depressed FY26 profit
Minor- The company recognised a one-time exceptional charge of ₹22.11 crore in FY26 for incremental gratuity and leave encashment provisions triggered by notifications of four New Labour Codes on 21 November 2025. Consolidated PAT fell 1.7% to ₹308.34 crore; excluding the charge, management stated underlying profitability improved by 5.34%. - Promoter holding declined gradually with zero pledge, while COO remuneration repeatedly breached limits
Minor- Promoter shareholding fell from 61.76% as of March 2021 to 53.22% as of the latest FY2026, with zero encumbrance declared in every year. Mr. Ramachandran V, Whole-time Director & COO, exercised ESOP options that pushed his total remuneration to ₹19,199.60 lakhs in FY2025-26 and ₹31.89 crore in FY2024-25, requiring shareholder approval to exceed statutory limits in each of the last eight years. - Operating cash flow consistently covers profit and dividends
Clean- Cumulative CFO of ₹1,753 crore exceeded cumulative PAT of ₹1,499 crore over FY2021-FY2026. Free cash flow was positive in each of the last four years: ₹323 crore in FY2023, ₹265 crore in FY2024, ₹357 crore in FY2025, and ₹279 crore in FY2026. The company held a net cash position of ₹231.16 crore as of 31 March 2026.
What to watch
- CGST show-cause notice. The ₹17.76 crore notice dated 14 April 2026 had no scheduled hearing date disclosed as of the FY2026 annual report.
- Income-tax penalty proceedings. Penalty proceedings under section 270A were initiated alongside the assessment order dated 23 March 2026 for AY2023-24.
- Audit trail limitation. The auditor’s inability to comment on direct database changes has persisted for three consecutive years; the FY2027 annual report will show whether adequate documentation has been provided.
- Gegadyne audit report. The statutory audit report of Gegadyne Energy Labs was not issued as of the FY2026 consolidated auditor’s report date; any qualifications will be reflected in the FY2027 consolidated report.
- Sunflame impairment test. The next annual impairment test of the Sunflame CGU, carrying goodwill of ₹249.14 crore and a trademark of ₹366.00 crore, is for the year ending 31 March 2027.
Bottom line: This is a cash-generating business with a net cash balance sheet. The record is marred by an audit-trail limitation that has persisted for three years and by subsidiary disclosures that are blank, contradictory, or populated with placeholder figures across multiple years, a pattern that makes the group structure hard to verify. The Sunflame impairment assumption is a live question, not because it has failed, but because the carrying value is large and the underlying segment is shrinking. Watch the tax proceedings, the audit trail limitation, and the Gegadyne audit report.
