Wipro Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Wipro’s record is fundamentally clean: eight years of unqualified audit opinions, zero promoter pledges, and a decade of cumulative operating cash flow that covers reported profit. Two things deserve attention. Goodwill has more than doubled with no impairment recorded, even as acquired intangibles from the same deals suffer escalating impairment charges. And a US$750 million subsidiary note guaranteed by the listed entity matures in June 2026, creating a near-term liquidity call alongside uncalled capital commitments and written put options.

Key findings

  1. A US$750 million subsidiary note guaranteed by Wipro matures in June 2026 Major - Wipro Ltd unconditionally guaranteed the 1.50% unsecured notes issued by step-down subsidiary Wipro IT Services LLC, with potential liability capped at 105% of the principal, or US$787.5 million. The notes mature on June 23, 2026, and were reclassified from long-term to short-term borrowings in FY26, contributing to a decline in the current ratio. Uncalled capital commitments stood at ₹1,450 crore as at March 2024, and a financial liability of 423.8 crore for written put options to non-controlling interests was recognised on the Aggne Global acquisition.
  2. Operating cash flow lags profit growth as working capital absorbs cash Minor - Annual operating cash flow declined by ₹2,011 crore in FY26 even as profit after tax rose by ₹47.5 crore, and declined by ₹679 crore in FY25 despite a PAT increase of ₹2,105.9 crore. Free cash flow as a percentage of net income fell in FY26, which the company attributes to growth in trade and unbilled receivables. The Board committed to return 70% or more of net income over a three-year block, and total cash dividends of ₹11,533.71 crore were paid in FY26, with a ₹15,000 crore buyback approved on May 21, 2026.
  3. Disputed income tax claims have grown to ₹10,461 crore Minor - Income tax claims not acknowledged as debt rose from ₹6,644 crore in March 2019 to ₹10,461 crore in March 2026. Disputed excise, customs, and sales tax claims increased from ₹848 crore to ₹2,073 crore over the same period. These are contingent liabilities contested in appellate proceedings and not acknowledged as debt.
  4. SEZ tax holidays materially reduce current tax, while large unrecognised deferred tax assets signal uncertain recovery Minor - SEZ tax holidays decreased current tax expense by ₹1,309 crore in FY26, ₹1,180 crore in FY25, and ₹1,431 crore in FY24; the holidays expire through fiscal 2034-35. Deferred tax assets of ₹1,361 crore on unused tax losses of ₹5,612 crore were not recognised because future taxable profits are not probable, and ₹5,151 crore of these losses have no expiry. Deferred tax liabilities of ₹6,969 crore on cumulative subsidiary earnings and U.S. branch profits were also not recognised.
  5. Wipro runs a disclosed subsidiary web of 148 entities with continuous M&A layering Minor - The group comprised 148 subsidiaries, 1 associate, and 1 joint venture as at March 31, 2026, down from 159 at FY23. Five wholly-owned Indian subsidiaries were merged into Wipro Ltd effective April 1, 2025, and internal reorganisations during FY26 included four cross-border mergers and a reverse merger. Wipro, LLC (Delaware, USA) was the sole material subsidiary, with no local statutory auditors appointed, Deloitte Haskins & Sells LLP conducts the Ind AS audit.
  6. Unqualified audit opinions across all years, with one persistent CARO exception, freehold land of ₹40.4 crore lacks a registered title deed Minor - Deloitte Haskins & Sells LLP issued unqualified audit opinions on both standalone and consolidated financial statements for every year from FY2019 through FY2026. The CARO report, a regulatory annexure on company affairs, has flagged since FY2020 that freehold land with a carrying amount of ₹40.4 crore lacks a registered title deed in the company’s name, with the reason described as “pending with regulatory body for approval”. No fraud was reported by the auditors under Section 143(12) in any year, and no cash losses were incurred.
  7. Deloitte Haskins & Sells LLP has been the statutory auditor since 2018, re-appointed through 2027 Clean - The auditor was re-appointed for a second five-year term from 2022 through 2027, with 100% of promoter votes cast in favour. Total consolidated fees remained stable at approximately 104 crore in FY26 and 103.9 crore in FY25. No resignation of the statutory auditors occurred during the review period.

What to watch

Bottom line: This is a disclosed and audited record with real cash generation and zero promoter pledges. The risk sits in two places: the goodwill book, which has doubled with no impairment while acquired intangibles from the same deals are being written down, and the US$750 million note maturing in June 2026 that has moved to short-term borrowings.
