Yuken India's audit record is clean on its face: seven years of unqualified opinions from the same auditor, no whistle-blower complaints in most years, and no repayment defaults. The story sits elsewhere. The subsidiary structure has been in continuous flux for seven years, and reported profits have been shaped by a merger with a loss-making subsidiary, an exceptional flat-sale gain, and a fourfold jump in inventory write-downs.
Key findings
- Profits shaped by a merger, an exceptional flat-sale gain, and a fourfold inventory write-down jump
Major- Yuken India merged its wholly owned subsidiary Yuflow Engineering into itself under an NCLT order dated 28 February 2023, using the pooling of interests method. It recognised an exceptional gain of ₹238.57 lakhs in FY2022-23 from the sale of residential units under a joint development arrangement with Brigade Enterprises. Standalone inventory write-downs for slow-moving and obsolete items rose from ₹23.41 lakhs at 31 March 2024 to ₹53.09 lakhs at 31 March 2025 to ₹220.69 lakhs at 31 March 2026. - Promoter Yuken Kogyo is supplier, customer, brand licensor, and ₹123 crore allottee
Minor- Yuken Kogyo Company Ltd, Japan, holding 44.62% pre-issue, was allotted 5,84,000 equity shares at ₹1,026 per share aggregating ₹59,91,84,000 on a preferential basis, approved by shareholders on 28 June 2025. Shareholders approved material related party transactions with Yuken Kogyo for FY2025-26 at estimated values of Sales 10 crore, Purchases 50 crore, Brand fees/Royalty 1.7 crore, and Other Services 4 crore. Mrs. Vidya Rangachar, who holds 16,000 equity shares, received rent of ₹0.75 lakhs from Yuken India for FY2024-25. - Japanese promoter dominance with overlapping family relationships
Minor- Yuken Kogyo increased its shareholding from 40.00% pre-issue to 44.62% post-issue via a preferential allotment of 10,00,000 equity shares at ₹629 per share completed on 28 June 2023, then to 47.00% via a further allotment of 5,84,000 shares at ₹1,026 per share completed on 31 July 2025. Promoter and promoter group shareholding rose from 52.50% as at 31 March 2023 to 58.04% as at 31 March 2026, with pledge at 0.00% throughout. The Risk Management Committee did not meet during FY2025-26. - Recurring PF-wages contingent liability and a contested merger scheme
Minor- The company has disclosed the same contingent liability arising from the Supreme Court judgment dated 28 February 2019 on the definition of wages under the Provident Fund Act, 1952 in every annual report from FY2019-20 through FY2024-25. The Income Tax Authority observed that the Transferor Company in the scheme of arrangement was loss-making with total losses to be carried forward of ₹8,09,04,600, and concluded the scheme was for avoiding tax by merging loss-making and profit-making companies. Statutory dues in dispute as of 31 March 2023 totalled ₹34.3 lakhs across three assessment years. - Goodwill and investment impairment tests swing sharply but always conclude no impairment
Minor- As at 31 March 2024, the consolidated goodwill impairment test used a discount rate of 9.75% and an average long-term growth rate of 15%. As at 31 March 2026, the test used a discount rate of 15.62% to 15.83% and a 5% long-term growth rate. A provision for other than temporary diminution of ₹94.63 lakh was recorded against investments as at 31 March 2023, and the same ₹94.63 lakh aggregate impairment figure recurs as at 31 March 2026. - Seven years of clean audit opinions with one recurring audit-trail exception
Minor- Walker Chandiok & Co LLP issued unqualified opinions on Yuken India's standalone and consolidated financial statements for each year from FY2019-20 through FY2025-26. The audit trail feature was not enabled at the database level of the SAP accounting software in FY2023-24, FY2024-25, and FY2025-26, though it was enabled at the application level. The CARO clause (xi)(c) response stated that the Company received whistle-blower complaints during FY2023-24; in all other years from FY2020-21 through FY2025-26, none were received. - Revenue recognition is a recurring audit focus, but receivables quality improved
Clean- The auditor identified revenue recognition as a Key Audit Matter in FY2020-21, FY2022-23, and FY2023-24 standalone reports due to multiplicity of products, volume of transactions, and varied contract terms under Ind AS 115. No single customer contributed 10% or more of total revenue in FY2021, FY2022, FY2023, FY2025, or FY2026. The company recorded an impairment reversal of ₹100.00 lakhs on trade receivables during FY2023, compared to a provision of ₹50.26 lakhs in FY2022. - Same statutory auditor for over a decade with no resignations or qualifications
Clean- Walker Chandiok & Co LLP served as statutory auditor continuously from FY2019-20 through FY2025-26, with report dates from 27 June 2020 to 26 May 2026. The auditor was re-appointed for a second term of 5 consecutive years from the conclusion of the 46th AGM held 14 September 2022 until the conclusion of the 51st AGM in 2027. No action against Walker Chandiok & Co LLP by NFRA, ICAI, SEBI, or any court is disclosed in any filing from FY2019-20 through FY2025-26.
What to watch
- 50th AGM vote. Shareholder vote on change in designation of Mr. Yoshitake Tanaka to Whole-Time Director for four years from 1 October 2026 to 30 September 2030, scheduled for 10 September 2026.
- PF-wages contingent liability. Resolution or further provision on the Supreme Court judgment dated 28 February 2019, which the company has stated it will evaluate after clarity since FY2019-20.
- Income Tax objection to merger scheme. Outcome pending as of the 7 March 2023 filing.
- FY2026-27 AOC-1. Whether Yuken Hydraulic Solutions Private Limited (India) and Yuken Hydraulic Solutions (Thailand) Co. Ltd., listed as subsidiaries in the FY2024-25 Corporate Governance report, appear in the subsidiary list or have been sold or merged.
Bottom line: This is a disclosed and audited record with a stable auditor, no repayment defaults, and improving receivables quality. The risk sits in structural opacity: profits shaped by one-off items, a recurring audit-trail exception, and a contested merger scheme. Read the consolidation list and the inventory write-down line with that in mind, and watch whether the FY2026-27 AOC-1 finally reconciles the subsidiary disclosures.
