Zee Media Corporation Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Zee Media Corporation Ltd's audit record has improved on paper, as the qualified opinions of FY2021 and FY2022 gave way to unqualified opinions, but the underlying strain has not lifted. A going-concern material uncertainty has appeared in every consolidated opinion since FY2024, audit-trail exceptions have persisted for three years, and the auditor has repeatedly flagged short-term funds used for long-term purposes. The related-party and regulatory picture is equally dense: a ₹164.7 crore promoter warrant issue sits frozen under court orders, a SEBI show-cause notice is pending, and the company's largest single exposure, the ₹290 crore DMCL guarantee, was settled for ₹170 crore of trademarks plus ₹12 crore in cash, which also involved a ₹127.33 crore write-off, covering the entire ₹309.3 crore outstanding amount.

Key findings

  1. Audit opinions improved, but going-concern doubts and audit-trail exceptions persist Major - The statutory auditor qualified the FY2021 and FY2022 financials over uncertainty on recovering ₹309.69 crore and ₹181.97 crore from Diligent Media Corporation Ltd. Opinions turned unqualified from FY2023, but every consolidated opinion since FY2024 has carried a material uncertainty related to going concern, citing accumulated losses and negative working capital. The auditor also reported under Rule 11(g) for FY2024, FY2025 and FY2026 that the audit trail (edit log) feature was not enabled on some tables, though no tampering was found in any year.
  2. Related-party loans were converted into 0.01% debentures, and a ₹127.33 crore write-off followed a promoter-linked guarantee settlement Major - Zee Media converted a ₹110 crore unsecured loan and trade receivables from its wholly owned subsidiary Indiadotcom into 0.01% coupon Optionally Convertible Debentures with 9-year conversion terms in FY2022-23. The DMCL guarantee settlement, approved by shareholders on 30 September 2022, brought ₹12 crore cash and ₹170 crore of trademarks, but required writing off ₹127.33 crore. The promoter-group warrant issue of ₹164.7 crore, allotted 5 January 2022, received only the 25% upfront of ₹41.18 crore; the balance due 5 July 2023 was never received, and court orders now direct status quo on those warrants.
  3. A SEBI show-cause notice is pending, and the promoter warrant issue is frozen by court orders Major - SEBI issued a Show Cause Notice dated 12 February 2026 in the Zee Entertainment matter; the company's settlement application remains under consideration. The 135,000,000 promoter warrants held by Elitecast Media Limited are subject to Delhi High Court and DRT status-quo orders, and SEBI advised on 24 August 2023 that relaxation be sought only after the final DRT order. Separately, SEBI barred certain guest experts on Zee Business from trading via an Interim Order dated 8 February 2024.
  4. Contingent liabilities rose from ₹325 crore to ₹584 crore in six years, with the DMCL guarantee settled at a discount Major - Standalone contingent liabilities for legal claims grew from ₹324.74 crore as at 31 March 2021 to ₹578.82 crore as at 31 March 2026. The ₹290 crore DMCL guarantee, plus ₹19.3 crore of other receivables, was settled for the entire outstanding amount of ₹309.3 crore, comprising ₹170 crore of trademarks, ₹12 crore cash, and a write-off of ₹127.33 crore. Pending disputes include a ₹1.11 crore GST demand dated 19 September 2025 and a SIAC arbitration claiming USD 1,553,482.05, filed 12 February 2026.
  5. Goodwill and associate investments were impaired repeatedly, with Indiadotcom goodwill finally written to nil in FY2026 Major - Consolidated goodwill fell from ₹4.79 crore as at 31 March 2025 to nil as at 31 March 2026, with the entire Indiadotcom goodwill impaired during FY2025-26. The same ₹4.79 crore goodwill had been tested in FY2024 and FY2025, with management concluding no impairment in both years. The two e-commerce associates, TMPL and TRNPL, were impaired every year from FY2022 to FY2024, aggregating ₹24.21 crore, ₹11.31 crore and ₹11.24 crore respectively, before being fully provided for in FY2024.
  6. Reported borrowings collapsed, but debt-like obligations persist through CCDs, NCDs and forfeited warrants Major - Non-current borrowings fell from ₹120.61 crore in FY23 to ₹0.81 crore in FY26, and current borrowings from ₹132.5 crore in FY24 to ₹9.77 crore in FY26. But the company holds 18-year Compulsorily Convertible Debentures convertible at its option, and 10% coupon NCDs that were extended to June 2034. The 13,33,33,333 FPI warrants allotted 7 November 2024 lapsed when holders declined conversion on 6 May 2026, and the ₹50 crore upfront was forfeited on 8 May 2026.
  7. A one-time ₹132 crore content-archive deal reshaped FY26 revenue and drove receivables up 58% Major - Content archive licensing contributed ₹132.04 crore in FY26 versus ₹0.43 crore in FY25, representing 17% of revenue. Advertising's share fell to 78% of revenue in FY26 from 92.7% in FY25 and 94% in FY24. Trade receivables rose from ₹199.26 crore in FY25 to ₹314.42 crore in FY26, including ₹84.48 crore due on 30 June 2026 that was not due as at 31 March 2026.
  8. Gains and write-backs flowed through exceptional items while core operations stayed loss-making Major - The slump sale of the Digital Publishing Business to Indiadotcom generated a ₹217.51 crore non-cash gain, disclosed as an exceptional item. Write-backs of provisions and associate impairments added ₹8.83 crore in FY2021 and ₹8.81 crore in FY2025. The company did not recognise a deferred tax asset of ₹65.8 crore on carried forward losses as at 31 March 2026.

Bottom line: This is a record of improving audit opinions but persistent economic strain. The going-concern uncertainty, the frozen promoter warrants, and the one-time content-archive deal that reshaped FY26 revenue all point to a company managing its way through a difficult transition. The risk is concentrated in unresolved regulatory and legal matters and in whether the receivables and warrant proceeds actually convert to cash, watch those lines.
