Parsoli Corporation is an Indian securities broking firm that has been frozen in place for over a decade - its shares suspended from trading since 2010, its operations dormant, and its future tied to the outcome of a regulatory appeal. Incorporated in 1990 in Maharashtra, the company’s entire history has been built around dealing in shares and securities, a business it is still legally structured to run but has not conducted for years. The recurring pattern is one of waiting: waiting for a SEBI ban to be lifted, waiting for litigation to conclude, and waiting to restart the only engine it has ever known. # Business segments Two reported segments that are really one dormant broking engine and a travel business with no disclosed operational substance - a company whose entire commercial identity rests on restarting a single activity it has not performed in years. ## 1. Dealing in shares and securities: the dormant broking engine **The company’s sole defining business is buying and selling securities for clients, but it has not executed a single trade in years while it waits for a regulatory ban to be lifted.** - **Inventory trapped in a common account** - its stock of shares and securities sits commingled with client holdings in a shared demat account, valued cautiously at the lower of cost or market price, and subject to ongoing reconciliation that may never be finalised. - **Surrounded by competitors it cannot fight** - management acknowledges a crowded field of small and medium-scale service providers that squeeze margins, and says it is “striving to start full-fledged business activity” and “working for survival” - a battle it cannot join until the legal cloud lifts. ## 2. Travel: a segment with a name but no disclosed operations **The company reports a travel segment that accounts for roughly half of its revenue mix, yet its filings contain no description of what this business does, how it works, or who its customers are.** - **A line item without a story** - the travel segment appears in the revenue split alongside the broking segment, but the company’s own annual reports describe broking as its sole operating segment and state repeatedly that it has not been carrying any business or commercial operations. - **No assets, no people, no explanation** - there is no mention of travel-related infrastructure, staff, contracts, or operational activity anywhere in the available filings, making it impossible to determine whether this is a legacy business, a pass-through arrangement, or something else entirely. # Group structure and partners **A German bank and an Omani investment firm were forced by a court order to buy nearly half the company’s public float - not because they wanted control, but because a two-decade-old deal triggered a mandatory open offer they had never made.** - **No subsidiaries, no operating group** - the company has no subsidiary, associate, or joint venture as of FY23, and earlier related-party entities like Parsoli Motor Works and Parsoli Corporate Services have faded from the picture. - **Promoters hold a minority stake** - the promoter group owns just under 40% of the shares, a holding diluted by years of inactivity and regulatory action. - **Acquirers who explicitly did not want control** - Baader Bank Aktiengesellschaft of Germany and Gulf Investment Services Holding Company of Oman made a joint open offer for 16.4% of the company not because they were acting together, but because a SEBI order - upheld by the Supreme Court in January 2020 - compelled them to belatedly honour an obligation triggered by a transaction in July 2006. - **The offer came with interest** - the acquirers paid Rs. 26 per share in cash, plus an interest component for shareholders who had held stock since the original 2006 trigger date, with RBI approval secured in January 2021 to cross the 26% shareholding threshold. - **Baader Bank emerged as the largest non-promoter shareholder** - upon completion, the German bank picked up just over 7 lakh shares, taking its stake from 24.81% to 27.36%, while both acquirers maintained they were not seeking control, severally or jointly.
